1. Agreement to Terms

By accessing or using VoiceFeedback ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all users, including visitors, registered users, and customers ("Users," "you").

2. Description of Service

VoiceFeedback is a cloud-based platform for creating, distributing, and analyzing voice and text surveys. The Service includes:

• Survey creation and customization tools
• Voice and text response collection
• AI-powered transcription and analysis
• Real-time analytics and reporting
• Integration with third-party applications
• Customer support and documentation

3. Account Registration

To use VoiceFeedback, you must:

• Contact info@somanitech.com to request account activation
• Provide accurate, complete registration information
• Maintain the security of your account credentials
• Be at least 18 years old (or legal age in your jurisdiction)
• Accept responsibility for all activities under your account

You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use Policy

You agree NOT to use VoiceFeedback to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Transmit harmful code (viruses, malware, etc.)
• Harass, abuse, or harm others
• Collect data without proper consent
• Spam or send unsolicited communications
• Interfere with Service operations or security
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without authorization

Violation may result in immediate account suspension or termination.

5. User Content and Data

Your Content

You retain all rights to content you create (surveys, questions, etc.). By using the Service, you grant us a limited license to host, store, and process your content solely to provide the Service.

Response Data

Response data belongs to you. We do not claim ownership of survey responses. You are responsible for:

• Obtaining proper consent from respondents
• Complying with data protection laws (GDPR, CCPA, etc.)
• Ensuring lawful use of collected data

Prohibited Content

You may not use the Service to collect or process:

• Illegal content
• Content that violates intellectual property rights
• Sensitive data without proper safeguards (financial, health, biometric)
• Data from children without parental consent

6. Billing and Payments

Subscription Plans

VoiceFeedback offers Free, Essentials, Pro, and Enterprise plans. Paid plans are billed monthly unless otherwise agreed.

Payment Terms

• Payment is due in advance for each billing cycle
• We accept major credit cards and approved payment methods
• All fees are non-refundable except as required by law
• Failed payments may result in service suspension

Price Changes

We may adjust pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

Taxes

Fees exclude applicable taxes (sales tax, VAT, GST). You are responsible for all taxes.

7. Cancellation and Termination

By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds for partial months.

By Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Use the Service in a way that harms us or other users
• Engage in fraudulent activity

We will provide notice when feasible, but may terminate immediately for serious violations.

Effect of Termination

Upon termination:

• Your access to the Service will cease
• We will retain your data for 90 days, then delete it
• You may request a data export before deletion
• Outstanding fees remain due

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

We are not liable for service interruptions caused by factors outside our control.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of AI-generated outputs
• Security or error-free operation

You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMANITECH SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding fees paid in the 12 months prior to the claim

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless SomaniTech from claims, damages, and expenses (including legal fees) arising from:

• Your use of the Service
• Your content or survey responses
• Your violation of these Terms
• Your violation of any third-party rights

12. Intellectual Property

VoiceFeedback, including all software, designs, trademarks, and content (excluding User Content), is owned by SomaniTech and protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our express permission.

13. Third-Party Services

VoiceFeedback may integrate with third-party services. Your use of such services is subject to their terms and privacy policies. We are not responsible for third-party services.

14. Modifications to Terms

We may update these Terms at any time. Material changes will be notified via email or Service notification at least 30 days in advance.

Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions.

Any disputes shall be resolved through binding arbitration in San Francisco County, California, except that you may bring claims in small claims court.

You waive the right to participate in class actions or class arbitrations.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and SomaniTech
• Severability: If any provision is unenforceable, the remainder remains in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign to an affiliate or acquirer
• Force Majeure: We are not liable for delays caused by circumstances beyond our control
